SAFECHAIN™ MASQUERADE LICENSING AGREEMENT

LICENSING AGREEMENT
This Licensing Agreement (“Agreement”) is made on the date of execution between:

1. DEFINITIONS
“SAFECHAIN™ Masquerade” means the branded national event platform owned exclusively by Safe-chainn LTD.
“Licensed Event” means the authorised city-specific SAFECHAIN™ Masquerade event hosted by the Licensee.
“Intellectual Property” includes, without limitation:
• SAFECHAIN™ name and branding
• Masquerade title and sub-branding
• Logos and design identity
• Event programme structure
• Educational frameworks
• Course promotional materials
• Safeguarding messaging
• Licensing documentation
2. GRANT OF LICENSE
2.1 The Licensor grants the Licensee a non-exclusive, non-transferable, revocable license to host:
“The SAFECHAIN™ Masquerade – [City Name] Edition”
2.2 This licence is valid only for the agreed calendar year and city.
2.3 The Licensee acquires no ownership rights in SAFECHAIN™ or associated intellectual property.
3. BRAND & PROGRAMME COMPLIANCE
The Licensee shall:
• Use official SAFECHAIN™ branding supplied by Safe-chainn LTD
• Maintain the approved purple and gold identity
• Deliver the mandatory event programme structure
• Present the SAFECHAIN™ 3-Layer Model
• Include Survivor Scholarship funding component
• Promote SAFECHAIN™ professional training and certification
No deviation from core messaging is permitted without prior written approval.
4. EDUCATIONAL INTEGRATION REQUIREMENT
The Licensed Event must include:
• Introduction to SAFECHAIN™ Professional Courses
• Promotion of Survivor Reorientation Pathway
• Information regarding Institutional Licensing
The event must maintain its identity as a reform and education platform.
5. FINANCIAL TERMS
The Licensee shall elect one of the following structures:
Option A
• £1,000 Licensing Fee payable upon signing
PLUS
• 20% of net event proceeds payable within 14 days of event completion
Option B
• 25% of net event proceeds (no upfront fee)
“Net proceeds” means total ticket and sponsorship revenue minus direct venue, catering, and production costs.
All payments shall be made to Safe-chainn LTD (bank details supplied separately).
6. SURVIVOR SCHOLARSHIP FUND
A minimum of 20% of net profits must be allocated to the SAFECHAIN™ Survivor Scholarship Fund unless otherwise agreed in writing.
Funds shall be remitted to Safe-chainn LTD within 14 days of event closure.
7. SAFEGUARDING OBLIGATIONS
The Licensee must:
• Appoint an Event Safeguarding Lead
• Maintain confidentiality standards
• Avoid defamatory or adversarial messaging
• Uphold dignity-focused tone
• Comply with applicable UK safeguarding laws
Safe-chainn LTD reserves oversight rights.
8. IMPACT REPORTING
Within 30 days post-event, the Licensee shall submit:
• Attendance figures
• Financial summary
• Scholarship allocation details
• Institutional engagement metrics
• Media coverage summary
9. QUALITY CONTROL & OVERSIGHT
Safe-chainn LTD retains the right to:
• Approve marketing materials
• Approve keynote speakers
• Attend the event
• Request programme amendments
10. TERM & TERMINATION
10.1 The licence applies for one event cycle only.
10.2 Safe-chainn LTD may terminate immediately if:
• Brand integrity is compromised
• Safeguarding obligations are breached
• Financial reporting is inaccurate
• Required payments are withheld
• Messaging deviates from approved framework
Upon termination, all branding must cease immediately.
11. INTELLECTUAL PROPERTY
All intellectual property remains the exclusive property of Safe-chainn LTD.
No assignment or sub-licensing permitted without written consent.
12. LIABILITY
The Licensee is solely responsible for:
• Event insurance
• Venue compliance
• Health and safety
• Operational management
Safe-chainn LTD bears no liability for local operational risks.
13. GOVERNING LAW
This Agreement is governed by the laws of England and Wales.
