SAFECHAIN™ Confidentiality & Non-Disclosure Agreement

This Agreement is made between:

SAFECHAINN LTD (Company No. 12038453), registered at 71–75 Shelton Street, Covent Garden, London, WC2H 9JQ ("Disclosing Party")

and

[Name / Organisation] ("Receiving Party")

1. Purpose

The parties intend to explore potential collaboration, policy engagement, pilot programmes, grant funding, research, or institutional reform discussions concerning SAFECHAIN™ frameworks and methodologies.

2. Definition of Confidential Information

Confidential Information includes, but is not limited to:

• Structural reform models
• Audit methodologies
• Cross-agency safeguarding architecture
• Operational continuity protocols
• Licensing frameworks
• Accreditation standards
• Strategic plans
• Technical concepts
• Business models
• Funding structures
• Non-public documents
• Any material marked confidential

3. Obligations

The Receiving Party shall:

• Not disclose Confidential Information to third parties
• Not reproduce or commercially exploit the material
• Use the information solely for the agreed purpose
• Apply reasonable security safeguards

4. Intellectual Property

All intellectual property rights in SAFECHAIN™ materials remain the exclusive property of Samantha Avril-Andreassen and SAFECHAINN LTD.

No licence is granted except for evaluation purposes.

5. Duration

This agreement remains in effect for five (5) years from date of disclosure.

6. Exclusions

This agreement does not apply to information that:

• Is already publicly available
• Was lawfully known prior to disclosure
• Is independently developed

7. Governing Law

This Agreement shall be governed by the laws of England and Wales.
Jurisdiction: Courts of England and Wales.
