SAFECHAIN™ MASQUERADE BALL SERIES

CITY-TO-CITY LICENSING AGREEMENT FRAMEWORK

1. Grant of License

SAFECHAIN™ grants the Licensee a limited, non-transferable, revocable license to host:

“The SAFECHAIN™ Masquerade Ball – [City Name] Edition”

License term: 12 months from execution.

2. Scope of License

License includes:

  • Use of SAFECHAIN™ Masquerade branding

  • Access to event programme blueprint

  • Annual reform theme integration

  • Access to scholarship model framework

  • Licensing toolkit and safeguarding guidelines

License does NOT include:

  • Ownership of brand

  • Ownership of course materials

  • Ownership of reform frameworks

3. Mandatory Programme Requirements

All licensed cities must include:

  • Honour & Remembrance Segment

  • SAFECHAIN™ 3-Layer Presentation

  • Scholarship Allocation Commitment

  • Institutional Pledge Component

  • Trauma-informed safeguarding presence

Programme deviations require written approval.

4. Financial Structure

Licensee must agree to one of the following models:

Option A:
Fixed Licensing Fee (£X) + 20% of Net Event Proceeds

Option B:
No fixed fee + 25% of Net Event Proceeds

Net Proceeds defined as:
Gross revenue minus direct event operational costs.

Minimum scholarship allocation requirement:
20% of net profit directed to SAFECHAIN™ Survivor Scholarship Fund.

5. Branding & Marketing Compliance

Licensee must:

  • Use approved SAFECHAIN™ visual identity

  • Maintain purple and gold core theme

  • Avoid political or defamatory messaging

  • Submit promotional materials for approval

SAFECHAIN™ retains final approval authority.

6. Safeguarding Standards

Licensee must:

  • Appoint a designated safeguarding lead

  • Follow trauma-informed event conduct guidelines

  • Protect survivor anonymity where required

  • Avoid exploitation of personal stories

Failure to uphold safeguarding standards may result in immediate license revocation.

7. Reporting Requirements

Within 30 days post-event, Licensee must submit:

  • Attendance metrics

  • Financial summary

  • Scholarship allocation breakdown

  • Media and institutional engagement summary

8. Termination

SAFECHAIN™ may terminate the license if:

  • Brand misuse occurs

  • Safeguarding standards are breached

  • Financial obligations are unmet

  • Reputational harm is reasonably foreseeable

Upon termination, all use of SAFECHAIN™ branding must cease immediately.

9. Renewal

Licenses are renewable annually subject to:

  • Compliance review

  • Financial reporting

  • Safeguarding adherence

  • Performance assessment

10. Governing Law

This Licensing Agreement shall be governed by the laws of England and Wales.
